Job description
Within the Legal Clients department of CACEIS Bank, Luxembourg Branch, you will join the Domicile team. Your role will be to manage the corporate life of investment funds and commercial companies for which CACEIS Bank, Luxembourg Branch provides services.
Your main responsibilities will include:
- Organizing boards of directors and ordinary and extraordinary general meetings.
- Ensuring governance approval of financial reports and other documents related to auditors’ assignments, and completing the legal and regulatory transmission obligations to the CSSF.
- Drafting shareholder notices, powers of attorney and minutes of general meetings.
- Drafting board minutes and circular resolutions concerning the regular corporate life of investment funds and commercial companies.
- Coordinating dividend distributions.
- Working with the Legal Advisor to prepare documentation for extraordinary general meetings amending the articles of association, including meeting minutes, notices, circular resolutions and revised articles of association.
Requirements
- Master’s degree from a university or business school, specializing in business law.
- First experience in an investment funds environment is an advantage.
- Knowledge of investment funds and related regulations, and company law.
- Organizational, writing and synthesis skills, commercial awareness and ability to manage deadlines.
- Proficiency in Microsoft Office.
- Excellent written and spoken English and French.
