Summary of Position
The VP/Director within the Financing & Client Services – Agency and Transaction Management (ATM) group is responsible for executing CACIB's role as Administrative Agent, sole lender, or participant across Structured Finance and Corporate transactions in the Americas, and for performing internal portfolio monitoring and oversight functions.
Main Responsibilities
Agency Management
- Deliver a high-quality, client-focused Administrative Agent function across an assigned portfolio of transactions.
- Review and provide feedback on draft financing agreement provisions relating to agency functions at transaction inception.
- Lead coordination of funding across multiple financial institutions and CACIB's Back Office.
- Track, evaluate, and distribute borrower deliverables and compliance obligations, including financial statements, covenant compliance, UCC filings, and insurance requirements.
- Maintain an organized and current deal site for lender access and reference.
- Monitor guarantees and collateral throughout each transaction's life.
- Evaluate conditions precedent for draws, payments, term conversions, distributions, and related actions.
- Coordinate loan assignment processes.
- Serve as the primary liaison to transaction participants and stakeholders, including sponsors, lenders, legal counsel, independent engineers, and other deal advisors.
- Negotiate waivers and amendments with borrowers and sponsors and manage the end-to-end approval process with bank groups.
- Lead bank meetings and conference calls.
- Respond to borrower and lender inquiries in a timely and professional manner.
- Collaborate with Front Office, Back Office, Legal, and Credit Risk.
- Manage processes required to document facility terminations at repayment.
- Oversee sole lender and participant transactions as required.
- Maintain accurate data across interconnected internal systems for portfolio monitoring and control.
- Partner with ATM management and the Data Monitoring team in Paris to uphold data integrity through controls and reconciliations.
- Support SMAC maintenance, anomaly resolution, LGD troubleshooting, and ad hoc special projects.
- Lead and contribute to internal projects and initiatives.
- Identify and recommend workflow improvements.
Requirements
- Bachelor's degree in Finance, Economics, or a related field is required.
- A master's degree in a related field and/or CFA is desirable.
- Minimum of 10–15 years of relevant experience in agency or portfolio management in project finance, structured finance, LBO, and/or corporate finance at a reputable investment bank.
- Minimum experience level: 11 years and more.
- Strong written and oral communication skills, interpersonal skills, problem-solving ability, multitasking ability, teamwork, and strong work ethic.
- Fluency in Spanish is desirable.
